4: What do the following types of corporate actions mean?

Corporate Action

Description

Bonus Issue

New shares in a company that are issued free to existing shareholders. New shares are typically issued to shareholders in proportion to their holdings as at a date specified by the company.

 

For example, the Company declared 1 bonus share for every 5 shares held.

If you are holding 1000 shares, your bonus entitlement will be 200 shares.

Share Split


A share split is similar to a bonus issue in that shareholders are issued with new shares at no cost. But its effect on the balance sheet is different from a bonus issue.

Usually, a share split reduces the par value of each share, but increases the number of shares by the same proportion.

For example, the Company declares “Sub-division of every 1 existing ordinary share into 5 ordinary shares”.

If you originally held 1000 shares, your new holdings will be increased to 5000 shares.

Share Consolidation

Share consolidation is the opposite of a share split.

The existing shareholder's shares are replaced with a smaller number of shares with a higher par value.

 

For example, the Company declared “Share consolidation  of every 10  ordinary shares into 1 consolidated share”

If you originally held 1000 shares, your new holdings will be reduced to 100 shares

5: What will happen to my shareholdings when there is corporate action by the Company?
 

For illustration purposes, assume Company ABC made the following announcement:

Shares consolidation of every 5 existing ordinary shares into 1 ordinary share

Last day to trade in existing shares (before the Consolidation)

12-Jan-09 (Monday)

Commencement Date to trade in Consolidated Shares

13-Jan-09 (Tuesday)

Book Closure Date*

15-Jan-09 (Thursday)

 

 

*Book Closure Date is the day when the shareholder records of a company are closed for the purpose of determining the holdings of Consolidated Shares of Shareholders under the Share Consolidation.

 

a)       If you have 1000 ABC shares at the close of the trading day on 12 January 2009, your new holdings available for selling will be 200 ABC Consolidated Shares from 13 January 2009 onwards.

 

b)       The stock prices will very often be adjusted accordingly to reflect the effect of the share consolidation. However, the stock prices may also affected by a myriad of factors such as the usual market forces of demand and supply, economic and political events (both at home and abroad). 

 

c)       Do ensure that you have checked your new holdings prior to submission of sales order. Any oversold positions by client will be constituted as "Short Selling" and subjected to buying-in by CDP.

 

d)       Due to changes in the iOCBC stock code, your iOCBC Portfolio will not be updated to reflect your new holdings in ABC Company.  Please refer to the User Guide http://portal.iocbc.com/PDF/Portfolio.pdf  to find out how you can make manual adjustments to your iOCBC portfolio.

6: How do I sell my odd lot quantity for my Consolidated Shares?
 

Based on the illustration at paragraph 4, you will be holding 200 ABC Consolidated Shares from 13 January 2009 onwards.

 

If the Company has declared a “temporary trading counter for trading in board lots of 200 consolidated Shares” in SGX, you may trade in this counter via iOCBC Online Trading Portal or via your Trading Representative.

 

The trading period is usually for only one month. After which, you will not be able to trade via iOCBC Online Trading Portal for your odd lot quantity. To trade in odd lot quantity, kindly contact your Trading Representative by phone.

7: How will I know if I will receive entitlements declared by the Company?
 

You will be entitled if you:

1)       bought on a cum-rights basis (usually three market days before the books closure date); or

2)       bought on a cum-rights basis and sold on or after ex-rights basis; or

3)       have the shares in your securities account on “Book Closure Date” , at 5pm.

 

“Book Closure Date” is the day when the shareholder records of a company are closed for registration in order to determine the entitlement of dividends, rights and bonus issues.
